Terms of Service

Welcome to For Professors × Professors (“For Professors × Professors,” “we,” “us,” “our”). For Professors × Professors is an online marketplace where verified educators can buy and sell peer-developed teaching resources (“Materials”). By accessing or using For Professors × Professors (the “Service”), you agree to these Terms of Service (the “Terms”).
If you do not agree to these Terms, do not use the Service.
1. Definitions
- “Materials” means digital educational resources listed, sold, or shared through For Professors × Professors, including (without limitation) lecture slides, syllabi, assignments, rubrics, exams, study guides, templates, and lecture notes.
- “User Content” means any content uploaded, posted, or transmitted by a user, including Materials, previews, thumbnails, listing descriptions, profile content, and reviews.
- “Contributor” means a user who lists Materials on For Professors × Professors.
- “Buyer” means a user who purchases or downloads Materials on For Professors × Professors.
- “Educator” means a faculty member, instructor, lecturer, or other academic staff member eligible for verification on For Professors × Professors.
- “Verified Educator” means an Educator whose identity and/or affiliation has been verified through For Professors × Professors’s verification process.
2. Eligibility, Educator-Only Access, and Accounts
2.1 Age and Capacity
You must be at least 18 years old and able to form a legally binding contract to use the Service.
2.2 Educator-Only Platform
For Professors × Professors is currently available only to Verified Educators. Non-educator accounts are not permitted at this time. We may restrict, suspend, or terminate accounts that attempt to use the Service outside of this scope.
2.3 Account Registration
You agree to provide accurate information when creating an account and to keep your account information current. You are responsible for all activity conducted through your account and for maintaining the security of your login credentials.
2.4 Verification
To access the marketplace (including buying and selling), you may be required to complete verification steps. You consent to For Professors × Professors using third-party services to verify your identity and educator affiliation.
3. The Marketplace
3.1 Listings and Contributor Responsibilities
Contributors are responsible for:
- Ensuring listing descriptions, previews, and claims are accurate and not misleading;
- Ensuring Materials are functional, legible, and match the listing;
- Ensuring Materials comply with these Terms and the Intellectual Property Policy;
- Maintaining documentation of rights/licenses for any third-party content used.
For Professors × Professors may remove or disable any listing that violates these Terms or any For Professors × Professors policy.
3.2 Purchases and Delivery
When a Buyer purchases Materials, For Professors × Professors delivers access via download, access link, or in-app access. Purchases grant a license to use as described in Section 6; they do not transfer ownership.
3.3 Reviews and Ratings
Users may post reviews and ratings in good faith. For Professors × Professors may remove reviews that are fraudulent, abusive, harassing, irrelevant, or otherwise violate these Terms.
4. Payments, Fees, Refunds, and Taxes
4.1 Payment Processing
For Professors × Professors uses third-party payment processors to process payments and facilitate payouts. You agree to the applicable processor terms in addition to these Terms.
4.2 Platform Fees and Commissions
For Professors × Professors charges fees (e.g., commissions, processing fees, payout fees) as described on the Service at the time of transaction. For Professors × Professors may update fees from time to time; fee changes apply prospectively.
4.3 Refunds; Digital Goods
Unless otherwise stated on the Service, digital purchases are generally non-refundable once delivered, except where required by law or where For Professors × Professors determines (in its discretion) that fraud, duplication, or material misrepresentation occurred.
4.4 Chargebacks and Payment Disputes
If a chargeback or payment dispute occurs, For Professors × Professors may:
- Suspend the account pending review,
- Reverse payouts where permitted,
- Require repayment of amounts owed, and/or
- Restrict future transactions.
4.5 Taxes
Sales tax. For Professors × Professors (Inkwell General Store LLC) is registering as the marketplace facilitator for transactions on the platform and will be responsible for calculating, collecting, and remitting any applicable US sales tax on Contributors' behalf once registration is complete. Contributors are not required to collect or remit sales tax on their fp×p sales.
Income tax. Contributors remain responsible for determining and fulfilling any income tax obligations related to their fp×p earnings. For Professors × Professors does not provide tax, legal, or accounting advice.
5. Acceptable Use
You agree not to:
- Upload, sell, or share Materials you do not own or lack rights to distribute;
- Post infringing, plagiarized, or pirated content;
- Upload confidential information or personally identifiable information about others without a lawful basis and documented authorization;
- Misrepresent your credentials, affiliation, or the source of your Materials;
- Scrape, reverse engineer, disrupt, or overload the Service;
- Attempt to bypass access controls, manipulate rankings/ratings, or share accounts.
For Professors × Professors may investigate suspected violations and take action, including removal, suspension, or termination.
6. Intellectual Property, Content Licenses, and Buyer Use Rights
6.1 Your Ownership
As between you and For Professors × Professors, you retain ownership of your User Content, subject to the licenses granted in these Terms.
6.2 License You Grant to For Professors × Professors
You grant For Professors × Professors a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and technically modify (e.g., reformat, compress, create thumbnails/previews) your User Content only as necessary to operate, market, and improve the Service.
This license ends when you remove your content, except:
- Copies may persist for a reasonable period in backups; and
- Copies may remain as needed to complete transactions already initiated or to comply with legal obligations.
6.3 Default License From Contributor to Buyer
Unless a listing states otherwise, Contributors grant Buyers a limited, non-exclusive, non-transferable, non-sublicensable license to use purchased Materials:
- For the Buyer’s own teaching and educational purposes,
- Including use in courses the Buyer teaches and within the Buyer’s institution,
- Including reasonable edits for classroom fit only if the listing permits editing or does not prohibit it.
Buyers may not:
- Resell, sublicense, redistribute, or re-upload the Materials to public sites or third-party marketplaces;
- Share the files broadly beyond what is reasonably necessary for course delivery and instructional collaboration;
- Remove watermarks or attribution notices if present.
6.4 Prohibited Third-Party Content
You may not upload Materials containing third-party content (images, figures, text, assessments, datasets, brand marks, fonts, templates, etc.) unless you have documented permission, a valid commercial-use license permitting distribution, the content is public domain, or another lawful exception clearly applies.
6.5 Infringement Reports and Takedowns
For Professors × Professors responds to valid IP complaints and may remove or disable allegedly infringing content. For Professors × Professors may terminate accounts of repeat infringers. See the Intellectual Property Policy for reporting and counter-notice procedures.
7. Privacy and Confidentiality
Your use of the Service is also governed by our Privacy Policy.
You agree not to upload confidential or sensitive information (including personal data of others) without a lawful basis and documented authorization.
8. Content Moderation and Enforcement
For Professors × Professors may (but is not required to) monitor activity and enforce these Terms. For Professors × Professors may remove content or restrict accounts for violations, risk to users, legal compliance, or platform integrity.
9. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, For Professors × Professors disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
For Professors × Professors does not guarantee that:
- Materials will meet your needs or be error-free,
- Contributor claims are accurate, or
- The Service will be uninterrupted or secure.
For Professors × Professors is not a party to transactions between Buyers and Contributors except as explicitly stated in these Terms.
10. Limitation of Liability
To the maximum extent permitted by law, For Professors × Professors will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.
For Professors × Professors’s total liability for any claim related to the Service will not exceed the greater of:
- the amount you paid For Professors × Professors in the previous 12 months, or
- $100 USD.
Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the greatest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless For Professors × Professors and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content (including IP claims), your use of the Service, or your violation of these Terms or applicable law.
12. Suspension and Termination
You may stop using For Professors × Professors at any time. Account settings may also offer a self-service export and scheduled deletion flow. Scheduled deletion includes a 7-day cancellation window before final disablement.
For Professors × Professors may suspend or terminate your account at any time if we believe you violated these Terms, pose risk to the Service or users, or for legal compliance.
Termination does not eliminate ongoing obligations, including payment disputes, refunds/chargebacks, tax and payout recordkeeping, fraud review, and legal claims. We may retain marketplace and transaction records as described in the Privacy Policy.
13. Changes to the Service or Terms
For Professors × Professors may modify the Service and update these Terms. We will post updates and revise the “Last Updated” date. Continued use after changes means you accept the updated Terms.
14. Governing Law and Disputes
Governing Law: These Terms are governed by the laws of the State of Maryland, USA, excluding conflict-of-law rules.
Venue / Disputes: Disputes will be brought exclusively in the state or federal courts located in Maryland, USA, and you consent to jurisdiction there.
